Each shareholder has the right to\u00a0 question\u00a0 the\u00a0 company’s\u00a0 managers\u00a0 and\u00a0 to examine the company’s corporate and accounting documents.<\/p>\n
Objective: To provide sufficient protection for\u00a0 shareholders (minority shareholders) against possible abuses by the administrative body.<\/p>\n
Limit: abuse of rights; when investigative\u00a0 powers\u00a0 are\u00a0 diverted\u00a0 from\u00a0 their\u00a0 primary interest, to the benefit of the partner or to the detriment of the company.<\/p>\n
In companies that have a statutory commissioner, this right is exercised through the commissioner. If this is not the case, each shareholder has individually,\u00a0 notwithstanding\u00a0 any\u00a0 statutory provision to the contrary, the\u00a0 powers\u00a0 of\u00a0 investigation\u00a0 and\u00a0 control of\u00a0 a commissioner. They may be represented or assisted by an external expert accountant\u00a0 (Article 3:72 and 3:101 CSA).<\/p>\n
