{"id":30181,"date":"2021-04-07T20:53:15","date_gmt":"2021-04-07T18:53:15","guid":{"rendered":"https:\/\/www.e2.law\/2021\/04\/07\/les-pouvoirs-de-lassemblee-generale-de-la-srl\/"},"modified":"2021-04-14T19:58:13","modified_gmt":"2021-04-14T17:58:13","slug":"les-pouvoirs-de-lassemblee-generale-de-la-srl","status":"publish","type":"post","link":"https:\/\/www.e2.law\/en\/2021\/04\/07\/les-pouvoirs-de-lassemblee-generale-de-la-srl\/","title":{"rendered":"the Powers of the General Meeting of the SRL"},"content":{"rendered":"<p><strong><span style=\"text-decoration: underline;\">Powers reserved by law to the General Assembly<\/span><\/strong><\/p>\n<p>The powers reserved by law are as follows:<\/p>\n<ul>\n<li><span style=\"text-decoration: underline;\">with a simple majority rule<\/span>\n<ul>\n<li>the approval of the accounts;<\/li>\n<li>the appointment, remuneration, dismissal and discharge of the director(s);<\/li>\n<li>the exclusion of a shareholder (5:155, \u00a71, par. 2 SHA)<\/li>\n<li>the social action (however, the shareholders possessing (all together) a minimum of 10% of the issued shares can initiate this legal action).<\/li>\n<li>the distribution of profits (even though the statutes can delegate this prerogative to the board)<\/li>\n<li>the appointment of the statutory auditor<\/li>\n<\/ul>\n<\/li>\n<li><span style=\"text-decoration: underline;\">With special majority rule<\/span><\/li>\n<\/ul>\n<p style=\"padding-left: 40px;\">subject to compliance with the rules applicable to the amendment of the articles of association, i.e. an attendance quorum of 1\/2 shares present or represented and a majority of \u00be of the votes cast (5:100 et seq.) :<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>acquisition of own shares (5:145 CSA) ;<\/li>\n<li>liquidation and dissolution;<\/li>\n<li>modification of the articles of association ;<\/li>\n<li>modification of the rights attached to the securities (in addition to the special majority in each category 5:102);<\/li>\n<li>modification of the objects of the company (4\/5 of the votes = art. 5:101.); \u00b5<\/li>\n<li>transformation of the company into another form of company<\/li>\n<li>issue of new shares,<\/li>\n<li>abolition or limitation of the preferential right &#8211; Art. 5:130.)<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><strong><span style=\"text-decoration: underline;\">Powers reserved by the articles of association:\u00a0<\/span><\/strong><\/p>\n<p>The general meeting of shareholders shall exercise the powers granted to it by the articles of association.<\/p>\n<p>The articles of association may extend the powers of the general meeting.
