{"id":30092,"date":"2021-03-23T23:00:40","date_gmt":"2021-03-23T21:00:40","guid":{"rendered":"https:\/\/www.e2.law\/?p=30092"},"modified":"2021-03-23T23:03:15","modified_gmt":"2021-03-23T21:03:15","slug":"clause-de-non-concurrence-et-contrat-de-travail","status":"publish","type":"post","link":"https:\/\/www.e2.law\/fr\/2021\/03\/23\/clause-de-non-concurrence-et-contrat-de-travail\/","title":{"rendered":"Clause de non-concurrence et contrat de travail"},"content":{"rendered":"<p>La mati\u00e8re est r\u00e9gl\u00e9e dans la loi sur le contrat de travail (<a href=\"http:\/\/www.ejustice.just.fgov.be\/cgi_loi\/loi_a1.pl?language=fr&amp;la=F&amp;cn=1978070301&amp;table_name=loi&amp;&amp;caller=list&amp;fromtab=loi&amp;tri=dd+AS+RANK#Art.64\" name=\"Art.65\">Art.<\/a>\u00a0<a href=\"http:\/\/www.ejustice.just.fgov.be\/cgi_loi\/loi_a1.pl?language=fr&amp;la=F&amp;cn=1978070301&amp;table_name=loi&amp;&amp;caller=list&amp;fromtab=loi&amp;tri=dd+AS+RANK#LNK0012\">65<\/a>.)<\/p>\n<h3 id=\"toc_heading_1\">La clause de non-concurrence est la clause &#8220;par laquelle le travailleur s&#8217;interdit, lors de son d\u00e9part de l&#8217;entreprise, d&#8217;exercer des activit\u00e9s similaires, soit en exploitant une entreprise personnelle, soit en s&#8217;engageant chez un employeur concurrent, ayant ainsi la possibilit\u00e9 de porter pr\u00e9judice \u00e0 l&#8217;entreprise qu&#8217;il a quitt\u00e9e, en utilisant, pour lui-m\u00eame ou au profit d&#8217;un concurrent, les connaissances particuli\u00e8res \u00e0 l&#8217;entreprise qu&#8217;il a acquises dans celle-ci, en mati\u00e8re industrielle ou commerciale&#8221;.<\/h3>\n<h2>Conditions<\/h2>\n<p id=\"toc_heading_2\">La clause n&#8217;est valable que moyennant le respect d&#8217;un certain\u00a0 nombre de conditions.<\/p>\n<blockquote><p>Au cas o\u00f9 une des mentions pr\u00e9vus \u00e0 peine de nullit\u00e9 est absente, la convention est nulle.\u00a0 N\u00e9anmoins, cette nullit\u00e9 ne peut \u00eatre soulev\u00e9e que par le travailleur.<\/p><\/blockquote>\n<p>La clause doit :<\/p>\n<ul>\n<li>\u00eatre constat\u00e9e\u00a0par \u00e9crit.<\/li>\n<li>se rapporter \u00e0 des\u00a0activit\u00e9s similaires.<\/li>\n<\/ul>\n<p style=\"padding-left: 40px;\">Par &#8220;activit\u00e9s similaires&#8221; s&#8217;entendent les activit\u00e9s exerc\u00e9es successivement dans des entreprises concurrences, c&#8217;est-\u00e0-dire qui ont une m\u00eame branche d&#8217;activit\u00e9.\u00a0 L&#8217;activit\u00e9 \u00e9conomique de l&#8217;entreprise doit \u00eatre concurrente mais, en plus, il faut que la fonction du travailleur soit similaire \u00e0 celle qui \u00e9tait exerc\u00e9e dans le cadre du contrat de travail au moment de la fin de ce dernier.<\/p>\n<ul>\n<li>concerner un contrat de travail pour lequel la\u00a0r\u00e9mun\u00e9ration annuelle brute d\u00e9passe\u00a036.201 \u20ac\u00a0(montant au 1<sup>er<\/sup>\u00a0janvier 2021) au moment de la rupture du contrat.Il faut en plus faire deux distinctions\u00a0:\n<ul>\n<li>Entre 36.201 \u20ac et 72.402 \u20ac\u00a0(montants au 1<sup>er<\/sup> janvier 2021), la clause n\u2019est valable que si une convention collective de travail pr\u00e9cise les fonctions auxquelles la clause de non-concurrence peut s&#8217;appliquer;<\/li>\n<li>A plus de 72.402 \u20ac,\u00a0la clause est toujours valable sauf pour les fonctions \u00e9ventuellement exclues par une convention collective de travail.<\/li>\n<\/ul>\n<\/li>\n<li>\u00eatre\u00a0g\u00e9ographiquement limit\u00e9e aux lieux o\u00f9 le travailleur peut faire une concurrence r\u00e9elle \u00e0 l&#8217;ex-employeur (et en aucun cas en dehors du territoire national).<\/li>\n<li>ne\u00a0pas exc\u00e9der 12 mois \u00e0 partir du jour o\u00f9 les relations de travail ont pris fin.<\/li>\n<li>pr\u00e9voir le paiement d&#8217;une\u00a0indemnit\u00e9 compensatoire unique et forfaitaire par l&#8217;ex-employeur .\u00a0 Le montant minimum de cette indemnit\u00e9 est \u00e9gal \u00e0 la moiti\u00e9 de la r\u00e9mun\u00e9ration brute du travailleur correspondant \u00e0 la dur\u00e9e d&#8217;application de la clause.<\/li>\n<\/ul>\n<blockquote><p>Ce calcul se base sur la r\u00e9mun\u00e9ration brute du travailleur pay\u00e9e au cours du mois pr\u00e9c\u00e9dant le jour de la cessation du contrat.\u00a0 \u00a0Quant \u00e0 ce qui est compris dans la r\u00e9mun\u00e9ration, la jurisprudence est divergente.<\/p><\/blockquote>\n<h2>Effets<\/h2>\n<div>\n<p>La clause\u00a0produit ses effets\u00a0lorsque le contrat prend fin apr\u00e8s les 6 premiers mois de son d\u00e9but :<\/p>\n<ul>\n<li>soit en cas de licenciement pour\u00a0faute grave\u00a0du travailleur<em>,<\/em><\/li>\n<li>soit en cas de d\u00e9mission sans faute grave de l\u2019employeur,<\/li>\n<li>soit de\u00a0commun accord<em>,<\/em><\/li>\n<li>soit par\u00a0l&#8217;arriv\u00e9e du terme\u00a0ou par\u00a0l&#8217;ach\u00e8vement du travail d\u00e9fini\u00a0.<\/li>\n<\/ul>\n<p>La clause\u00a0ne produit pas ses effets\u00a0:<\/p>\n<ul>\n<li>soit en cas de rupture durant les 6 premiers mois du d\u00e9but du contrat,<\/li>\n<li>soit, pass\u00e9 ce d\u00e9lai de 6 mois, en cas de licenciement sans faute grave du travailleur,<\/li>\n<li>soit, pass\u00e9 ce d\u00e9lai de 6 mois, en cas de d\u00e9mission pour\u00a0faute grave\u00a0de l&#8217;employeur<em>.<\/em><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<\/div>\n<h2>Sanctions<\/h2>\n<p>Si le travailleur viole une clause de non-concurrence valable et susceptible de produire ses effets, il doit\u00a0rembourser l&#8217;indemnit\u00e9 compensatoire unique et forfaitaire\u00a0\u00e0 l&#8217;employeur et lui payer en plus une somme \u00e9quivalente \u00e0 l&#8217;indemnit\u00e9 \u00e0 titre de d\u00e9dommagement. Le juge peut \u00e9ventuellement r\u00e9duire cette somme ou l&#8217;augmenter.<\/p>\n<h2>Possibilit\u00e9 de renonciation par l&#8217;employeur<\/h2>\n<p>L&#8217;employeur dispose d&#8217;un d\u00e9lai de 15 jours (civils) suivant la cessation du contrat de travail pour renoncer\u00a0 \u00e0 l&#8217;application effective de la clause de non-concurrence.\u00a0 Dans ce cas, il n&#8217;est plus tenu de verser l&#8217;indemnit\u00e9 compensatoire forfaitaire.<\/p>\n<h2>A noter<\/h2>\n<p>M\u00eame en l&#8217;absence d&#8217;une clause de non concurrence, l&#8217;interdiction de la concurrence d\u00e9loyale s&#8217;oppose \u00e0 ce que le travailleur proc\u00e8de \u00e0 la divulgation de secrets d&#8217;affaire, d\u00e9nigre les produits et services de son ancien employeur ou d\u00e9bauche syst\u00e9matiquement la client\u00e8le.<\/p>\n<p>Des r\u00e8gles compl\u00e9mentaires sp\u00e9cifiques s&#8217;appliquent pour le repr\u00e9sentant de commerce.<\/p>\n<p>Une clause sp\u00e9ciale s&#8217;applique \u00e9galement pour certaines cat\u00e9gories d&#8217;entreprises et pour des employ\u00e9s exer\u00e7ant des fonctions d\u00e9termin\u00e9es.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>La mati\u00e8re est r\u00e9gl\u00e9e dans la loi sur le contrat de travail (Art.\u00a065.)
