Chairman Deadlock Clause

This clause gives a casting vote to certain members in case of a deadlock in the board of directors. This casting vote must be exercised in the interest of the company.

This technique consists of granting a multiple voting right, the use of which is conditional on the existence of a lock-up to these shareholders.
