Majority and Quorum Clause

A clause can be included which adapts the majority rules for certain decisions, thus protecting minority shareholders. Clauses can thus :

  • Strengthening majorities ;
  • Lighter majorities ;
  • Provide a veto right for one or more specific operations.

For example, it can be provided that the appointment of directors requires a special majority or that the minority shareholder has a veto right.

A clause can also be included to adjust the attendance quorums required for certain decisions.
