Mini Trial Deadlock Clause

It is a clause which provides that in the event of a blockage, the shareholders at the root of the blockage organise a “mini-trial” between themselves, whose judges are third parties. At the end of an adversarial debate, a judgement, without any enforceable form, is given.

At most, shareholders can voluntarily comply with this judgment. The effectiveness of this mechanism is therefore limited.
