Convertible loan agreement

A convertible loan contract is a contract by which an investor lends a certain amount of money to a company, agreeing not to become a shareholder directly, but reserving the possibility of doing so under predefined conditions. For example, the investor may choose to convert the balance of the outstanding loan into securities representing the borrower’s capital if the loan is not fully repaid at maturity.
