Escalation Clause

It is a clause that establishes a referral mechanism that allows a decision to be referred to another body when a disagreement leads to an impasse. If the impasse arises within the Board, the disputed item can be referred to the G.A. for a decision. The decision taken will then replace the decision that the management body should have taken.
