Exclusion Clause (Not in the SA)

This is a clause that provides for a sanction for shareholders who do not respect the shareholders’ agreement.

By means of cross-options, the defaulting party is then forced by the other parties to transfer its shares to them for a fixed price, which could be below market value or even a symbolic price.
