Competing Offer Clause

It is a clause that allows the prospective seller to temporarily sell his shares to the beneficiary of the clause, provided that a third party offering a better price can be found within a certain period of time.

If the seller finds a potential purchaser, the beneficiary has a period of time to match the price offered by the third party.
